Terms of Service

1. Definitions

• "Platform" means the Club Term web application accessible at clubterm.com.
• "Facility Account" means an account held by a sports facility, club, or academy that uses Club Term to manage its operations.
• "Participant" means an individual (or their parent/guardian) who books sessions or programs through the Platform.
• "Subscription" means a paid plan that grants access to Club Term features.

2. Account Registration

You must provide accurate, current, and complete information when creating an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized use of your account.

Accounts are for individual or organizational use only. You may not share your account credentials with third parties outside your organization.

3. Subscription and Payment

Facility Accounts are subject to a subscription fee as set out on our Pricing page. Subscriptions are billed in advance on a monthly or annual basis. Prices are shown inclusive of applicable VAT where required.

You may cancel your subscription at any time. Eligible new subscriptions include a 30-day free trial, and you are not charged if you cancel before the trial ends. Cancellation takes effect at the end of the current billing period. No refunds are issued for unused portions of a subscription period.

We reserve the right to change subscription pricing with 30 days' notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

4. Acceptable Use

You agree not to use the Platform to:

• Violate any applicable law or regulation
• Transmit fraudulent, misleading, or unlawful content
• Infringe the intellectual property rights of others
• Transmit viruses or other harmful code
• Attempt to gain unauthorized access to any part of the Platform or its systems
• Harvest or collect data about other users without their consent
• Use the Platform for any purpose other than its intended sports management functions

5. Data and Privacy

Your use of the Platform is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our collection and use of data as described in the Privacy Policy.

Facility Account holders are responsible for ensuring they have appropriate legal basis under UK GDPR and the Data Protection Act 2018 to collect and process participant data via the Platform.

6. Intellectual Property

Club Term and its content, features, and functionality are owned by Real Code Ltd and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works based on our Platform without our express written consent.

You retain ownership of all data you input into the Platform (including participant records, session data, and financial records). We claim no ownership over your data.

7. Service Availability

We aim to maintain Platform availability of 99.5% or greater, excluding scheduled maintenance. We will endeavour to provide advance notice of planned downtime. We are not liable for any loss arising from Platform unavailability.

8. Limitation of Liability

To the fullest extent permitted by applicable law, Real Code Ltd shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, loss of data, or loss of goodwill. Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim.

9. Termination

We reserve the right to suspend or terminate your account if you breach these Terms, fail to pay subscription fees, or if we reasonably believe your use of the Platform poses a risk to us or other users. Upon termination, your right to access the Platform ceases immediately. You may request an export of your data within 30 days of termination.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by email or via a notice on the Platform. Continued use of the Platform after the effective date of revised Terms constitutes your acceptance.

11. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
